By using the Platform, you acknowledge that Beta Features may contain bugs, errors, security vulnerabilities, or other issues that could impact functionality or data security. Key Disclosures

User Assumption of Risk & Liability

Haven exists to connect people, and in most cases, the benefits of fostering real-world community connections outweigh the risks. However, all interactions involve some degree of uncertainty, and by using the Platform, you acknowledge and accept these risks. Haven does not verify, oversee, or control user interactions, and you assume full responsibility for your choices and experiences on and as a result of using the Platform.


What We Share When You Join a Community


When you apply to join a Haven community, Haven first sends your information to the Community Sponsor’s administrator for verification and approval before granting access. This process enhances security and eligibility for participation. Once approved, your basic profile information (e.g., name, profile details, and activity) becomes immediately visible to other community members. Haven is not responsible for how Community Sponsors, or other users, handle or use this information.

Messaging & Notifications Consent

By using Haven, you consent to receive SMS text messages and notifications that are necessary for the operation of the Platform, including but not limited to account verification, security alerts, and activity updates. These messages are required to use Haven, and opting out may result in loss of platform access. Standard messaging and data rates may apply.

The Platform is accessible through Haven’s websites (including livehaven.co) (the “Site”), mobile applications (the “Apps”), and any related features, updates, events, technologies, or communications (collectively, the “Haven Platform” or simply the “Platform”).


By acknowledging these Terms and/or accessing or using the Platform, you confirm that you have read, understand, and agree to be bound by this agreement, including all terms incorporated by reference, without limitation or qualification. If you do not accept these Terms, you may not access, browse, or use the Platform.


Data Collection & Privacy


At Haven, we respect the privacy of our users. The collection, use, and processing of any personal data submitted to Haven or collected about you is governed by our Privacy
Policy, available at livehaven.co/privacy.

  • By using Haven, you consent to our collection, use, and disclosure of personal data as outlined in the Privacy Policy.

  • Users have rights under applicable privacy laws, including the California Consumer Privacy Act (CCPA), where applicable.

Haven is a peer-to-peer, community-driven platform designed to help individuals share resources, favors, and services within their local networks. The Platform facilitates connections, coordination, and collaboration by enabling users to borrow and lend items, offer and request services, and participate in shared activities or gatherings. 


Users can request and offer favors, borrow or give items, and contribute support within their community. Haven's Matchmaker function may proactively suggest connections based on shared interests, skills, and availability. Additionally, the Platform may incorporate a points system to encourage engagement, recognize contributions, and track participation, which may influence visibility, reputation, or access to certain features.


Haven provides the technology and tools to support these exchanges, but users always retain full discretion over whether to accept, decline, or ignore matches or requests.

Once users identify a suitable match, they may communicate via the Platform’s messaging feature to discuss the details of the exchange, including scope, timing, location considerations, and any relevant conditions. After finalizing an agreement, users may proceed with the scheduled exchange.

By participating in an exchange, users acknowledge that:

  • All engagements are voluntary, and users enter into agreements at their own discretion.

  • Any agreed-upon terms or conditions are solely between the participating users.

  • Haven is not a party to any agreement formed between users ("User Agreements") and assumes no responsibility or liability for the terms, execution, or outcome of any exchange.

  • The formation of a User Agreement does not create any obligation, endorsement, or liability for Haven.

  • Users are responsible for exercising good judgment when coordinating and participating in exchanges.


Haven does not oversee, enforce, or guarantee any arrangements made between users. All responsibility for fulfilling agreements, handling disputes, and assessing risk lies with the users involved.


Non-Transactional Structure


Haven connects users but does not facilitate financial transactions between them. Most interactions happen without monetary exchange, and users are encouraged to participate based on community goodwill, reciprocity, and shared resources. If users choose to arrange paid services outside the Platform, Haven does not condone, manage, or take responsibility for those agreements.


Trust & Verification


Some Haven networks may implement verification processes to build trust among users. These processes may be:

  • Set by Haven (e.g., account registration requirements, identity verification).

  • Set by a Community Sponsor administering a local Haven network.


Terms such as "verified," "trusted," or "background-checked" refer only to users who have completed these processes and do not imply Haven’s endorsement, certification, or guarantee of a user’s qualifications, reliability, or suitability.

  • Engage voluntarily—there is no requirement to participate in any exchange.

  • Accept, decline, or ignore any match or request at their discretion.

  • Use other platforms, services, or community activities outside of Haven without restriction.


Haven’s Role


Haven is a technology platform that provides tools to support on-platform coordination. While using the Platform, Haven may:

  • Monitor and track participation to improve user engagement and ensure platform integrity.

  • Facilitate and intervene in interactions when necessary to encourage participation, enforce platform policies, or support coordination.

  • Engage with users directly to refine match suggestions, offer support, or address concerns.


Haven monitors activity at its discretion but is not obligated to intervene in every interaction or dispute. Users remain fully responsible for:

  • Deciding whether to accept, decline, or participate in interactions.

  • Managing their own engagements, agreements, and exchanges.

  • Ensuring their own safety and exercising discretion when interacting with others.


Haven’s involvement in suggesting matches, tracking participation, or moderating platform activity does not mean Haven assumes liability for the outcome of any interaction.


Role of Haven Community Sponsors


In some cases, a Community Sponsor, such as a membership-based community, residential group, cooperative, nonprofit, or other organization, may administer a sponsored version of Haven for its members. Community Sponsors may:

  • Fund access to the Platform for specific users.

  • Determine eligibility for participation in their sponsored Haven network, including who may join or be removed.

  • Establish their own guidelines, verification criteria, and trust-building mechanisms.

  • Provide incentives, rewards, or recognition to encourage engagement.

  • Offer community oversight to maintain participation and ensure alignment with their goals.


Haven (Live Haven LLC) does not control, verify, or assume responsibility for any policies, rewards, or verification processes established by Community Sponsors. Any concerns regarding processes or policies within a sponsored Haven network should be directed to the Community Sponsor managing it.


Third-Party Involvement Disclaimer

Haven facilitates connections between users but does not control, monitor, or take responsibility for any additional individuals that users choose to involve in their interactions. Users acknowledge that third parties may become involved in their exchanges, whether by their own choice or through the natural course of human interactions.

  • Haven does not control, supervise, or assume responsibility for the actions, decisions, or conduct of third parties.

  • Haven is not liable for any loss, harm, injury, disputes, or damages resulting from user-initiated third-party involvement.

  • Users are solely responsible for any agreements, instructions, obligations, or consequences arising from their engagement with third parties.

  • Users assume all risks associated with sharing information or involving others in exchanges facilitated through the Platform.


Users are encouraged to exercise caution and discretion when engaging third parties, whether for assistance, coordination, or execution of favors or services.

End Users

  • They are interacting with others at their own discretion and risk.

  • Haven does not guarantee the reliability, qualifications, or integrity of any user.

  • Lending or borrowing items carries the risk that items may not be returned or may be damaged.

Participating in services or activities may result in personal or financial risk.

No Liability for User Interactions

  • Haven does not conduct background checks, certify skills, or verify users beyond the registration and verification processes that may exist on the Platform. All interactions are voluntary, and users assume all associated risks.

  • Haven does not independently verify whether users hold the necessary licenses, permits, or registrations to perform certain favors or services. Some activities may legally require specific licensing or qualifications, and users are solely responsible for ensuring they comply with all national, state, or local laws when participating in exchanges facilitated through the Platform.

  • Users engaging with others on the Platform must evaluate whether an individual is appropriately qualified, certified, or licensed for a particular activity before proceeding.


Off-Platform Disclaimer


Once users engage with each other outside the Platform, Haven has no involvement, oversight, or responsibility for what occurs. Haven does not monitor, facilitate, or track any off-platform interactions.


Users acknowledge and agree that:

  • Haven is not responsible for any agreements, transactions, or disputes that arise off-platform.

  • Haven has no liability for any loss, damage, injury, or other consequences resulting from off-platform interactions.

  • Users assume all risks when choosing to engage outside of the Platform.


Guidelines for Safe Participation


Users are encouraged to:

  • Verify identities before engaging in in-person exchanges.

  • Meet in public locations when appropriate.

  • Clearly communicate expectations when borrowing, lending, or providing services.

  • Exercise caution when sharing personal or financial information.


By using Haven, users agree that Haven is not liable for any harm, loss, damage, or disputes arising from user interactions, whether on or off the Platform.

Registration Requirements & Immediate Data Sharing

Registration Requirements & Immediate Data Sharing

To access certain features of Haven, you must create an account. By registering, you acknowledge and agree that certain personal information, including but not limited to your name, phone number, email, and address, will be immediately shared with the Community Sponsor or organization you select during registration to verify your eligibility to participate in that community.

  • This data-sharing occurs at sign-up and is required to access certain features of the Platform.

  • If you do not consent to this data-sharing, you may not use Haven within a sponsored community.


To access and use the Haven Platform, you must register and create an account by providing:

  • Full Name

  • Valid Mobile Phone Number

  • Email Address

  • Physical Address (if required by your selected community)

  • Any other information Haven or your selected Community Sponsor requires for verification


By registering, you agree to:

  • Provide only accurate and truthful information.

  • Promptly update Haven if your information changes.

  • Maintain the security of your account and prevent unauthorized access.


As part of the sign-up process:

  • Both your phone number and email address will be subject to a two-factor authentication (2FA) process.

  • You will receive a verification code via SMS and email, both of which must be entered to complete registration.

  • Haven manually reviews all registrations to verify identity and eligibility for participation.

  • As part of the manual review process, all information you provide may be shared with the Community Sponsor administering your access. See Registration Requirements & Immediate Data Sharing for details.


To the extent permitted by applicable law, users may be subject to a review process before and during their use of the Platform, which may include:

  • Identity verification and background checks conducted by third-party services.

  • Additional screening measures as deemed appropriate by Haven.


Users agree to undergo such background checks as relevant and where legally permissible. Haven does not guarantee the accuracy or reliability of background check information and is not responsible for false or misleading statements made by users on the Platform. WHAT DOES THAT MEAN, IN WHAT CONTEXT?


Once registered, you must log in securely to access your account. For security purposes:

  • Both your phone number and email address may be subject to two-factor authentication (2FA) at login.

  • Haven reserves the right to require 2FA authentication at any time for account access.

  • You are responsible for maintaining the confidentiality of your login credentials, password, and account information.

  • You assume full responsibility for all activities that occur under your account, even if unauthorized.

  • Haven has no control over any user’s account activity.


If you suspect any unauthorized use of your account, you must notify Haven immediately.


Haven reserves the right to deny, restrict, or terminate accounts if:

  • A user fails to provide or maintain accurate information.

Haven does not send marketing emails, and these operational emails cannot be opted out of as they are necessary for account security and compliance.


Message, Carrier Terms & Deliverability

  • Standard carrier message and data rates may apply for all sent and received SMS messages.

  • Your carrier may prohibit or restrict certain mobile features, and some features may be incompatible with your device.

  • Haven is not responsible for delivery failures, delays, or compatibility issues, as these depend on your mobile carrier and email provider.

General Practices Regarding Use and Storage


You acknowledge that Haven may establish general practices and limits regarding the use of the Platform, including:

  • Data Retention: The maximum period of time that data, user-generated content, or other information will be stored on Haven’s servers or those of its third-party service providers.

  • Storage Limits: The maximum storage space allocated for users on Haven’s servers.

  • Inactive Accounts: Haven reserves the right to deactivate or delete accounts that remain inactive for an extended period.


Haven is not responsible for the deletion, loss, or failure to store any data or content uploaded, maintained, or transmitted through the Platform. Haven also reserves the right to modify these storage practices and limits at any time, with or without notice and at its sole discretion.


Beta Features


Haven may offer certain features, including the Platform itself, while still in beta form (“Beta Features”). Beta Features are experimental, in development, and subject to change. Haven will make reasonable efforts to identify Beta Features as “beta,” “pilot,” “limited release,” or through other similar designations.


By using Haven or any Beta Features, you acknowledge and accept that:

  • Beta Features may contain bugs, errors, security vulnerabilities, or other issues that could impact performance, functionality, or data security.

  • Beta Features are provided “AS IS” and “AS AVAILABLE” without warranty of any kind.

  • Haven is not liable for any loss, data corruption, downtime, or security incidents resulting from the use of Beta Features.

By using Beta Features, you assume all risks and costs, including but not limited to:

  • Internet access fees and data usage costs

  • Backup expenses for any data lost due to Beta Features

  • Potential damage to devices, software, or peripherals

Haven is not required to provide maintenance, technical support, or updates for Beta Features. While we may collect feedback and make improvements, we do not guarantee issue resolution or feature stability during the beta phase.


Consent to Access & Use of the Platform


By using Haven, you acknowledge and agree that:

  • Your personal information (including but not limited to name, phone number, email, and address) will be immediately shared with the Community Sponsor or organization you select at registration for verification purposes.

  • Haven requires two-factor authentication (2FA) via SMS and email for account security.

  • You are responsible for maintaining the confidentiality of your login credentials and assume full responsibility for all activity on your account, even if unauthorized.

  • Haven may send you SMS messages for security alerts, match suggestions, and platform updates, which cannot be opted out of. Opting out may result in account deactivation or restricted access.

  • You consent to receive mandatory operational emails related to login verification, security alerts, and key account updates.

  • Haven may establish limits on data storage and account inactivity, and is not responsible for data loss due to these policies.

  • Beta Features may be experimental and subject to change, and you assume all risks when using them.

To access certain features of Haven, you must create an account. By registering, you acknowledge and agree that certain personal information, including but not limited to your name, phone number, email, and address, will be immediately shared with the Community Sponsor or organization you select during registration to verify your eligibility to participate in that community.

  • This data-sharing occurs at sign-up and is required to access certain features of the Platform.

  • If you do not consent to this data-sharing, you may not use Haven within a sponsored community.


To access and use the Haven Platform, you must register and create an account by providing:

  • Full Name

  • Valid Mobile Phone Number

  • Email Address

  • Physical Address (if required by your selected community)

  • Any other information Haven or your selected Community Sponsor requires for verification


By registering, you agree to:

  • Provide only accurate and truthful information.

  • Promptly update Haven if your information changes.

  • Maintain the security of your account and prevent unauthorized access.


As part of the sign-up process:

  • Both your phone number and email address will be subject to a two-factor authentication (2FA) process.

  • You will receive a verification code via SMS and email, both of which must be entered to complete registration.

  • Haven manually reviews all registrations to verify identity and eligibility for participation.

  • As part of the manual review process, all information you provide may be shared with the Community Sponsor administering your access. See Registration Requirements & Immediate Data Sharing for details.


To the extent permitted by applicable law, users may be subject to a review process before and during their use of the Platform, which may include:

  • Identity verification and background checks conducted by third-party services.

  • Additional screening measures as deemed appropriate by Haven.


Users agree to undergo such background checks as relevant and where legally permissible. Haven does not guarantee the accuracy or reliability of background check information and is not responsible for false or misleading statements made by users on the Platform. Once registered, you must log in securely to access your account. For security purposes:

  • Both your phone number and email address may be subject to two-factor authentication (2FA) at login.

  • Haven reserves the right to require 2FA authentication at any time for account access.

  • You are responsible for maintaining the confidentiality of your login credentials, password, and account information.

  • You assume full responsibility for all activities that occur under your account, even if unauthorized.

  • Haven has no control over any user’s account activity.


If you suspect any unauthorized use of your account, you must notify Haven immediately.


Haven reserves the right to deny, restrict, or terminate accounts if:

  • A user fails to provide or maintain accurate information.

  • A user poses a threat to the safety, security, or integrity of the Platform.

  • There are reasonable business concerns warranting account restriction.

Subscription and Automatic Renewal

A monthly subscription fee may be required for access to certain features of Haven. The associated terms are provided below.

Subscription Fees

By subscribing to any paid services on the Platform, you agree to pay the applicable subscription fees. Subscription fees are billed on a recurring basis (e.g., monthly or annually), and by agreeing to these Terms, you authorize Haven to charge your payment method for the applicable fees on a periodic basis until you cancel the subscription.


Automatic Renewal


Your subscription will automatically renew at the end of each billing cycle unless you cancel it before the renewal date. You may cancel your subscription at any time by accessing your account settings or contacting Haven support. Cancellations will take effect at the end of the current billing period, and no refunds will be issued for any prior charges.


Free Trials


If you are offered a free trial, the terms of the free trial, including its duration and when you will be charged, will be clearly disclosed. At the end of the free trial, you will automatically be charged the subscription fee unless you cancel before the trial ends.


Price Changes


Haven reserves the right to modify the subscription fees or pricing structure at any time. Any price change will be communicated to you in advance, and you will have the option to cancel your subscription before the new price takes effect.


Cancellation


You can cancel your subscription at any time via your account settings or by contacting Haven support. If you choose to cancel, your subscription will remain active until the end of the current billing period, but you will not be charged for the next period. Please note that refunds will not be issued for any partial billing periods.


No Renewal Reminder


Haven does not send reminder notices
before subscription renewals. It is your responsibility to manage your subscription, including cancellations, through your account settings.


Responsibility for Payment

User Conduct & Acceptable Use

Haven is a community-driven platform designed to facilitate sharing, favors, and services among users. To maintain a safe, respectful, and functional environment, all users must adhere to the following guidelines regarding conduct and content.

1. User Responsibility for Conduct & Content


Users are solely responsible for any content they upload, post, share, or communicate through the Platform, including but not limited to text, images, audio, video, and other materials (“User Content”). Haven does not verify, endorse, or assume liability for any User Content.


By using the Platform, you agree to:

  • Ensure that any content you share is lawful, appropriate, and does not infringe on the rights of others.

  • Take full responsibility for your interactions and communications with other users.

  • Comply with all applicable laws when using the Platform.


2. Prohibited Conduct


You may not use the Platform to:

  • Violate rights – Upload, post, or distribute content that infringes on intellectual property, privacy, or proprietary rights.

  • Spread harmful content – Share viruses, malware, or any technology designed to disrupt or damage the Platform or others’ devices.

  • Jeopardize privacy or security – Post or share another person’s sensitive personal information without consent.

  • Engage in spam or solicitation – Send unauthorized promotions, chain letters, pyramid schemes, contests, or sweepstakes.

  • Facilitate illegal activity – Use the Platform for any unlawful activity, including but not limited to:

    • Cannabis, CBD, and prescription medication sales (prohibited under U.S. federal law despite state variations).

    • Age-restricted content (e.g., alcohol, firearms, gambling, tobacco) where prohibited.

  • Harass, threaten, or exploit others – Engage in abusive, discriminatory, fraudulent, defamatory, obscene, or exploitative behavior.

  • Evade platform restrictions – Use tactics such as misspelled words, non-standard opt-out phrases, or spreading messages across multiple accounts (“snowshoeing”) to evade content moderation.

  • Interfere with platform operations – Attempt to hack, disrupt, or circumvent Haven’s security measures.

  • Impersonate others – Misrepresent your identity, affiliations, or authority.

  • Collect user data improperly – Scrape, mine, or store information about other users without consent.


3. User Responsibilities When Sharing Content


By posting or sharing content on Haven, you represent and warrant that:

  • You own or have the legal rights to share the content.

  • Your content does not violate copyrights, trademarks, or other third-party rights.

  • If your content includes another person’s name, likeness, or personal details, you have their consent.

Haven reserves the right to review, remove, or restrict any content that violates these Terms, at its sole discretion.


4. Enforcement & Consequences


Haven may take action against violations, including but not limited to:

  • Removing prohibited content.

  • Restricting or suspending user accounts.

  • Reporting violations to law enforcement when applicable.

If your access is restricted or terminated for violating these Terms, you may not attempt to bypass restrictions (e.g., by creating new accounts, masking your IP, or using VPNs).


5. User Generated Content & Haven’s Role


"User Generated Content" refers to any information, content, or materials (including but not limited to text, images, audio, and video) that you provide to Haven, its agents, affiliates, or other users in connection with your registration or use of the Platform.

Haven does not create, verify, or endorse User Generated Content and is not responsible for its accuracy or reliability. You acknowledge and agree that:

  • Haven does not monitor or control User Generated Content and assumes no responsibility for any consequences of relying on it.

  • Haven may, but is not obligated to, review or moderate content and reserves the right to remove content that violates these Terms or poses a risk to the community.

  • Haven is not liable for any claims, damages, or disputes arising from User Generated Content.


6. License & Rights to User Generated Content


By posting content, you grant Haven a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sublicensable, and transferable license to:

  • Use, modify, reproduce, distribute, publicly display, and create derivative works from your User Generated Content.

  • Use User Content for platform functionality, marketing, promotional materials, and other platform-related purposes.

  • Display your username, profile image, and other identifying information in connection with shared content.

Haven is not obligated to compensate users for any content they submit.

By submitting content, you represent and warrant that:

  • You have the legal right to post and share the content.

  • Your content does not:

    • Contain false, misleading, or deceptive information.

    • Violate third-party intellectual property, privacy, or other legal rights.

    • Violate any laws or regulations.

    • Contain defamatory, harassing, obscene, or illegal material.

    • Imply endorsement, sponsorship, or affiliation with Haven.


7. Reporting & Content Removal


Haven reserves the right to remove or restrict User Generated Content that violates these Terms or creates a risk to the Platform or its users.

If you believe any content infringes your rights or violates community standards, you may report it to Haven for review.

Haven may disclose the identity of users whose content allegedly infringes third-party rights to facilitate direct resolution of claims. For reports related to criminal activity,
violence, or child exploitation, users must notify Haven immediately.


8. Waiver of Liability & Indemnification


To the extent allowed by law, you:

  • Waive any moral rights in your User Generated Content.

  • Release Haven from liability for any claims related to content moderation, restriction, or removal.

  • Agree to hold Haven harmless from any disputes, claims, or damages arising from the use of your content.


User-Generated Feedback & Reviews


The Platform allows users to share ratings and reviews of other users (“Feedback”), which are personal opinions and do not reflect Haven’s views, endorsements, or verification. Haven does not evaluate, verify, or take responsibility for the accuracy of User Feedback.

Users are solely responsible for the Feedback they post and must ensure that it complies with Haven’s Terms of Service and Rating & Review guidelines. Haven reserves the right, but is not obligated, to review, modify, or remove any Feedback that:

  • Violates this Agreement or applicable laws.

  • Contains misleading, defamatory, harassing, or inappropriate content.

  • Includes private or sensitive information.

  • Was posted in bad faith or with malicious intent.


Users may request the removal of a review that violates these policies by contacting Haven. However, Haven retains full discretion over whether to take action on such requests.


Platform Access & License Grant


Subject to your compliance with the terms of this Agreement (including, without limitation, these Terms and Haven’s Acceptable Use Policy), Haven grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to:

  • Access and use the Platform within the regions where Haven operates.

  • Download, access, and use the Haven mobile application on your personal device solely for lawful purposes.

  • Access and view content, information, and materials made available on the Platform, strictly for personal and non-commercial purposes aligned with the Platform’s intended use.


All Users must comply with Haven’s Acceptable Use Policy when accessing or using the Platform. You may not:

  • Copy, modify, reproduce, distribute, or publicly display any portion of the Platform.

  • Reverse engineer, decompile, disassemble, or attempt to extract source code from the Platform.

  • Scrape, mine, or harvest any data from the Platform or interfere with its operations.

  • Circumvent, disable, or tamper with security features, content protections, or geographic restrictions.

  • Use the Platform for commercial purposes, unless expressly authorized by Haven in writing.


Haven reserves the right to modify, restrict, suspend, or terminate Platform access at any time, for any reason, without liability to you. Any rights not expressly granted by

Haven are reserved.


User Representations & Warranties


By accessing or using the Platform, you represent and warrant that you:

  1. Comply with all applicable rules and requirements

    • Will fully comply with this Agreement, including these Terms, the Acceptable Use Policy, and all other applicable policies.

    • Are the legally required age in your jurisdiction and capable of entering binding contracts.

    • Have the legal right, authority, and capacity to enter into this Agreement, and if you enter this agreement on behalf of an entity or person other than yourself personally you have the authority to bind any company or organization you represent.

  2. Use the Platform responsibly

    • Will only request or perform favors in locations where the Platform is active and available.

    • Will respect the privacy, property, and data protection rights of other Users.

    • Will not record (audio, video, or otherwise) interactions on the Platform without prior consent from Haven and all involved Users.

    • Will act professionally and responsibly in all interactions and commitments made to other Users, including clear and timely communication.

    • Will use your legal name or business name and maintain an up-to-date profile photo.

    • Will comply with all applicable local, state, national, and international laws when using the Platform.

    • Will not use the Platform for illegal transactions, including, without limitation, the purchase, sale, or delivery of controlled substances.

    • Will keep all Platform-related communications regarding favors, including arrangements and questions, within the Platform.

  3. Engage with the community in good faith


    • Recognize that all exchanges on the Platform are based on goodwill and mutual support, not formal or transactional relationships.

    • Will fulfill commitments responsibly, following any clear instructions provided by the requesting user, and will notify them promptly if unable to do so.

    • Will respect property boundaries and only enter private areas with explicit permission from the property owner or relevant user.

    • Understand that any disputes or mistakes are private matters to be resolved between users, and Haven bears no responsibility for such matters.

    • Will engage with the Platform in a spirit of respect, professionalism, and community-oriented collaboration.

Community Values & Good Faith Interactions

Haven is a community-powered platform built on mutual support, reciprocity, and trust. It is designed to foster neighborly connection, not commercial transactions. Every interaction on the Platform is an act of goodwill, with the understanding that Users help one another voluntarily, without expectation of payment or obligation.


By using the Platform, you acknowledge and agree that Haven is not a marketplace for services, a work-for-hire platform, or a means of establishing formal business relationships. Haven exists to make it easier for people to share time, skills, and resources in a spirit of generosity and collective well-being.


Users are expected to engage with care, respect, and good faith, which includes:

  • Following through on commitments – If you offer help or request support, do so with sincerity and follow through as best you can.

  • Respecting privacy and boundaries – Only enter spaces or handle items with the explicit permission of those involved.

  • Acting responsibly and with consideration – Approach all interactions with thoughtfulness, understanding that this is a shared community built on trust.


Haven provides a space for Users to connect, but Haven is not responsible for individual interactions, misunderstandings, or mistakes. If an issue arises, it is up to the Users involved to resolve it directly. Haven does not mediate disputes and disclaims any liability related to the actions or omissions of Users.


Restrictions on Commercial Use & Competitive Access


Haven is a community-driven platform designed for mutual support and reciprocity, not commercial transactions or business promotion.

To maintain the integrity of the Platform:

  • Competitive Use Restrictions: No employee, independent contractor, agent, or affiliate of a competing platform or service facilitating peer-to-peer exchanges, sharing economies, or community-based support may access, use, or gather information from the Platform without express written permission from Haven. By using the Platform, you represent and warrant that you are not acting on behalf of a competitor or using Haven for competitive research.

  • Commercial Use Prohibited: Unless explicitly authorized by Haven in writing, you agree that the Platform is for personal, community-driven use only. You may not use the

    Platform to:

    • Advertise, promote, or solicit for any business, service, or product.

    • Generate leads, recruit customers, or market commercial offerings (including services provided by other Users).

    • Copy, reproduce, distribute, modify, sell, resell, or create derivative works from any part of the Platform for commercial gain.

    • Offer favors or assistance in exchange for money, goods, or other compensation.


Haven reserves the right to restrict, suspend, or remove access for any User engaging in commercial exploitation or competitive misuse of the Platform.


Use of Third-Party Services & External Links


Haven may provide links to or integrate with third-party services, websites, technologies, or resources (“Third-Party Services”) to enhance the user experience. Your access and use of Third-Party Services may be subject to separate terms, conditions, and privacy policies set by the providers of those services.

  • User Responsibility: Any interactions, transactions, or agreements you enter into with Third-Party Services are solely between you and the third party. Haven is not responsible for any costs, damages, or issues arising from your use of external services.

  • External Links & Risk Acknowledgment: If you follow links to external sites or resources, you do so at your own risk. We encourage you to review the terms and privacy policies of any third-party service before engaging with them.

Rewards, Referrals, and Promotions

Haven and its associated Communities may offer rewards and incentives for participation; however, these rewards are not guaranteed by Haven and do not imply any financial compensation or obligation.

Haven is a community-driven platform designed to facilitate mutual support, resource sharing, and engagement. While no financial transactions occur between Users, Haven incorporates a structured participation-based rewards system to encourage contributions and maintain an active community.


Participation-Based Incentives & Rewards


To promote meaningful engagement, Haven may offer incentives that recognize and reward participation.

These may include:

  • Earning Points: Users may receive points for actions such as sharing resources, fulfilling requests, or referring members.

  • Recognition & Status Levels: Users may earn status-based benefits tied to continued participation.

  • Community-Based Challenges & Events: Community Sponsors may choose to offer time-sensitive incentives to encourage specific types of engagement.

  • Configurable Incentives: Community Sponsors may establish customized reward structures to align with their engagement goals.


Participation-based incentives do not create financial obligations between Users and are managed solely within the Haven Platform.


Access & Subscription Model


Access to Haven may vary by community. Some Users may:

  • Access Haven for free,

  • Pay a monthly subscription, or

  • Have access provided through a Community Sponsor (such as a residential community or membership-based organization).


Any fees, if applicable, will be clearly outlined in separate terms and are non-refundable unless expressly stated. Points cannot be purchased, and participation-based rewards do not hold monetary value outside of the Platform.


Cancellations & Modifications


If a User cancels participation in a rewards program, a subscription, or fails to meet engagement requirements, Haven may adjust or revoke any associated incentives, rewards, or access to Platform features.


Engagement Campaigns & Limited-Time Incentives


Haven may, at its discretion, introduce time-limited engagement initiatives to promote community participation. These campaigns, when applicable, may involve:

  • Seasonal or themed engagement opportunities,

  • Community-specific participation challenges, or

  • Other temporary promotions defined by Haven or a Community Sponsor.


All such initiatives are subject to change or discontinuation at any time and may have separate terms.


Referral-Based Growth & Community Expansion


Haven encourages organic, trust-based growth by allowing Users to invite others into their communities.

  • Referrals may be rewarded through participation-based incentives at Haven’s discretion.

  • Community Sponsors may set approval processes for referred members before granting access.

  • Referral misuse (e.g., creating fake accounts, spam invitations) may result in restrictions or loss of rewards.


To ensure fair participation, Users agree to the following:

  • No Self-Referrals or Fraud: Users may not refer themselves or create fake or multiple accounts to gain referral-based benefits.

  • No Spam or Misuse: Referrals must be made in good faith. Spam, deceptive practices, or automated/bot-generated referrals are not allowed.

  • Compliance & Enforcement: Haven may revoke referral-based rewards, restrict access, or take other appropriate action if misuse is detected.

  • Program Changes: Haven reserves the right to monitor, modify, or discontinue the referral program at any time.


Real-World Benefits & Community Sponsor-Provided Rewards


While Haven’s default rewards exist within the Platform, Community Sponsors may choose to offer additional incentives at their discretion. For example:

  • Residential Communities may offer tenant perks (e.g., amenity access, discounts).

  • Membership-Based Organizations may provide exclusive benefits to engaged participants.

  • Other Community Sponsors may choose to integrate Haven’s participation model with their own reward structures.


These real-world benefits, if offered, are solely determined and managed by the respective Community Sponsor and are not guaranteed by Haven.

Mobile Services and Software

Haven is a mobile platform, and by using it, users agree to app store rules, carrier fees, and software restrictions.

Haven is a mobile application, and by using it, you acknowledge that:

  • Standard carrier fees may apply when accessing Haven on a mobile device, including data and messaging charges.

  • Haven does not guarantee compatibility with all devices, operating systems, or wireless service providers.

  • Mobile access is subject to availability and may be impacted by network or technical limitations.


Software License & Restrictions


Haven grants you a limited, non-exclusive, non-transferable, revocable license to:

  • Install and use the Haven app on a single mobile device for personal, community-based participation.

  • Access and use Haven’s services in compliance with these Terms and applicable law.


Users may not:

  • Modify, copy, distribute, sell, sublicense, or reverse-engineer Haven’s software.

  • Use automated systems, bots, or unauthorized third-party tools to interact with the Platform.


Haven retains all rights, title, and interest in its software and intellectual property. Any rights not expressly granted herein are reserved.


Third-Party App Stores & Compliance


Haven’s mobile app may be downloaded through third-party distribution channels such as the Apple App Store or Google Play Store. Users acknowledge that:

  • Additional terms of the app store provider may apply.

  • Haven, not Apple or Google, is responsible for the app’s services, maintenance, and support.

  • App store providers are third-party beneficiaries of these Terms and may enforce their own policies.


International Use & Export Compliance


Haven is headquartered in the United States. By downloading or using the Haven app, you confirm that:

  • You are not located in a country subject to U.S. government embargoes or designated as a “terrorist-supporting” country.

  • You agree to comply with all applicable local, national, and international laws regarding software access and data transmission.

  • You acknowledge that downloading, accessing, or using the Haven app is at your sole risk, and you are responsible for ensuring compliance with any applicable laws in your jurisdiction.


Software and services provided by Haven may be subject to U.S. export laws and other restrictions. Users may not download, export, or re-export the software in violation of these laws.

Haven’s Proprietary System & Methodology


Haven’s platform, including its points system, incentives methodology, matching methodology, and overall framework, is proprietary and the result of extensive research and development.

  • By using Haven, you agree not to copy, analyze, replicate, reverse-engineer, or otherwise attempt to recreate any aspect of Haven’s system, technology, or engagement model.

  • Accessing Haven for the purpose of competitive research, duplication, or imitation is strictly prohibited.

  • Haven retains exclusive rights to its engagement models, algorithms, incentive structures, and community-matching methodology.

  • Any unauthorized attempt to extract, commercialize, or reproduce Haven’s approach may result in legal action.


Restrictions on Use


Users may not:

  • Modify, copy, distribute, or create derivative works based on Haven’s platform, methodology, or features.

  • Use automated tools, scraping technologies, or manual analysis to extract information about Haven’s proprietary systems.

  • Claim, market, or commercialize any part of Haven’s engagement model, matching process, or reward structures.


Haven reserves all rights not expressly granted under these Terms.


Trademarks & Branding


Users are not permitted to use Haven’s name, logo, or branding for any purpose without prior written approval. Any goodwill generated from Haven’s brand remains exclusively Haven’s property.


User Content & Licensing


Users are granted a limited license to access Haven (not ownership), while Haven retains full rights to its platform, methodologies, and user-submitted content, which it may use for operational and promotional purposes.


License to Access & Use Haven

  • Limited License: When you use Haven, you are granted a limited, non-exclusive, non-transferable, revocable license to access and use the platform solely for personal, community-driven participation.

  • No Ownership Rights: You do not own any part of Haven’s software, digital content, proprietary systems, or methodologies. Your use of Haven does not grant you any rights beyond this limited license.

  • No Transfer of Rights: Your access to Haven does not grant you any ownership, resale, or modification rights over Haven’s platform, points system, incentives structure, or engagement framework. Haven retains full control over its system and intellectual property.


User Content & Licensing

  • By submitting content (e.g., posts, messages, or contributions) to Haven, Users grant Haven a broad license to use their content for operational and promotional purposes.

  • Haven retains full rights to use, store, display, modify, promote, or distribute User Content in any form, medium, or technology, now or later developed.

  • Users retain ownership of their content but grant Haven an unrestricted license to use it for marketing, advertising, or platform development.

  • Users assume all risks associated with their own posted content, including ensuring they have the legal right to share it.


Mutual Respect & Content Sharing


Haven encourages thoughtful and respectful sharing of content within the platform. Users may share certain posts using the built-in share functionality, which is designed to facilitate positive community engagement.


However, Haven does not endorse or encourage the misuse of shared content—including copying, distributing, or otherwise exploiting content in a way that harms, misrepresents, or disparages other users.

  • Users should share content in a manner that aligns with Haven’s community values.

  • If shared content is used inappropriately, Haven reserves the right—at its sole discretion—to:

    • Remove the content,

    • Restrict or suspend accounts, and

    • Take any other appropriate action.


Haven does not actively monitor how users share content but retains the right to intervene if necessary.

Statistical & Usage Data


Users acknowledge that Haven collects and analyzes statistical and usage data to improve the platform.

  • Haven may derive, use, and share aggregated or anonymized data in accordance with applicable law and the Privacy Policy.

  • Any feedback, ideas, suggestions, or reviews submitted to Haven are non-confidential, and Haven may use them freely, without attribution or compensation.


Content Moderation & Legal Compliance


Third-Party Content & Removal Rights


Haven is not responsible for content posted by Users or third parties but reserves the right to remove or restrict access to any content that:

  • Violates these Terms,

  • Infringes intellectual property rights, or

  • Is deemed objectionable by Haven at its sole discretion.


Legal Disclosure of User Content


Haven may disclose User Content if legally required to do so or when necessary to:

  • Comply with laws, legal processes, or government requests.

  • Enforce these Terms or respond to claims.

  • Protect Haven, its Users, or the public from harm.


Copyright Complaints & DMCA Compliance


Haven respects intellectual property rights. If you believe your copyrighted work has been used on Haven without authorization, you may submit a copyright infringement notice to Haven’s designated contact:

Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold Haven, its affiliates, and their respective officers, employees, and agents harmless from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:

  • Your use of the Platform, including any interactions, arrangements, or disputes with other users.

  • Your posted content, including any claims of intellectual property infringement.

  • Your violation of these Terms or any applicable laws or regulations.


Haven reserves the right to assume the exclusive defense of any matter subject to indemnification, and you agree to cooperate with Haven in its defense. You may not settle any claim without Haven’s prior written consent.

Disclaimer of Warranties


Your use of Haven is at your sole risk. The Platform is provided “as is” and “as available” without warranties of any kind, express or implied.

Haven makes no guarantees that:

  • The Platform will function without interruptions, errors, or security vulnerabilities.

  • The Platform will meet your specific expectations or requirements.

  • Information or interactions on the Platform will be accurate, reliable, or free from third-party misconduct.


Haven disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.


Limitation of Liability


To the fullest extent permitted by law, Haven will not be liable for any indirect, incidental, special, consequential, or exemplary damages, including but not limited to loss of profits, goodwill, data, or other intangible losses, arising from:

  • Your use or inability to use the Platform.

  • Any actions, communications, or transactions between users.

  • Unauthorized access to or alteration of your data.

  • Statements or conduct of any third party on the Platform.

  • Personal injury or property damage resulting from your use of the Platform.


Haven’s total liability for any claim will not exceed the amount you have paid Haven in the past six (6) months, or, if greater, one hundred dollars ($100).


Some jurisdictions do not allow limitations on certain warranties or liability. In such cases, Haven’s liability will be limited to the maximum extent permitted by law.


Exclusive Remedy


If you are dissatisfied with Haven or these Terms, your sole and exclusive remedy is to discontinue use of the Platform.


Jurisdictional Considerations


The sections titled “Indemnification,” “Disclaimer of Warranties,” and “Limitation of Liability” are intended to be only as broad as permitted under applicable law in your jurisdiction. If any portion of these sections is found invalid under local laws, the remainder of the applicable section will continue to apply to the fullest extent permitted.

Dispute Resolution Rights and Limitations

Haven is not responsible for damages, losses, or legal claims arising from user activity, third-party interactions, or platform use.

Agreement to Arbitrate

By using Haven, you agree that any disputes or claims arising from or related to Haven’s Terms, Platform, or interactions with other users will be resolved exclusively through binding arbitration rather than in court. This agreement applies to all disputes, except:

  • Small claims court cases, if eligible under local laws.

  • Complaints to federal, state, or local agencies that have the authority to seek relief on your behalf.


By agreeing to these Terms, you waive the right to a trial by jury or to participate in a class-action lawsuit. The Federal Arbitration Act governs this Arbitration Agreement.


No Class Actions or Representative Claims


You and Haven agree that all disputes must be resolved on an individual basis.

  • No class actions, group arbitrations, or representative lawsuits may be brought under this Arbitration Agreement.

  • The arbitrator may not consolidate multiple users’ claims or award relief on a group-wide basis.

  • If a court determines that this class-action waiver is unenforceable, Haven reserves the right to require all disputes to be litigated in court instead of arbitration.


Pre-Arbitration Dispute Resolution


Haven aims to resolve disputes efficiently. Before initiating arbitration, you must attempt to resolve your dispute through Haven’s designated dispute resolution process.


If the issue is not resolved within 60 days, you or Haven may begin arbitration.


Arbitration Procedures

  • Arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules (www.adr.org).

  • The arbitrator will apply Haven’s Terms as a court would.

  • Arbitration may be conducted remotely, via documents, phone, or in person, depending on the claim.

  • The arbitrator’s decision is final and enforceable in court.


Claims Under $10,000

  • If your claim is for $10,000 or less, you may choose:

    • To have the arbitration conducted solely on written submissions (no hearing required).

    • To request a telephonic hearing.

    • To request an in-person hearing, as determined by the AAA rules.

  • If your claim exceeds $10,000, the right to a hearing will be determined by the AAA’s Consumer Arbitration Rules.


Costs of Arbitration

  • Arbitration fees will be governed by AAA’s Consumer Arbitration Rules.

  • If you demonstrate financial hardship, Haven may cover your portion of the fees to ensure arbitration is not cost-prohibitive.


Confidentiality


All arbitration proceedings, rulings, and awards will be strictly confidential to protect the privacy of all parties.


Severability & Future Modifications

  • If any part of this Arbitration Agreement is found unenforceable, the remaining terms will still apply.

  • If the class-action waiver is found unenforceable, this entire Arbitration Agreement will be null and void. In such a case, all disputes must be litigated in court on an individual basis, and users waive any right to bring or participate in a class-action lawsuit in court.

  • If Haven makes future changes to this Arbitration Agreement, you have 30 days to reject the changes by sending written notice to Haven.

User Disputes

How you behave on Haven is your call. 

You are solely responsible for your interactions with other users on Haven. Haven has no liability for any disputes, claims, or issues arising between users. Haven reserves the right, but is not obligated, to intervene in disputes at its sole discretion.

Termination, Account Suspension & Appeals

Haven reserves the right to terminate your account at any time, for any reason.

Account Suspension & Termination

Haven reserves the right to suspend, restrict, or terminate any account at its sole discretion, including, but not limited to, cases where:

  • A user violates these Terms, including the User Conduct & Acceptable Use policy.

  • A user engages in activity that threatens the safety, security, or integrity of the Platform or its community.

  • A user provides false, misleading, or inaccurate information during registration or while using the Platform.

  • Haven determines, in its reasonable judgment, that continued access to the Platform would present an unacceptable risk or liability to Haven or its users.

  • A user’s account has been inactive for an extended period, as determined by Haven.

  • Haven, in its sole discretion, decides to discontinue the Platform or any of its features.


Haven may take enforcement action without prior notice and has no obligation to retain or restore user content or account data. Haven will not be liable to you or any third party for any account suspension or termination.


Appeals Process


If your account has been suspended, restricted, or terminated, you may request a review through Haven’s designated appeals process. Appeals must:

  • Be submitted within 30 days of receiving notice of the enforcement action.

  • Clearly state the reason you believe the restriction was made in error.

  • Provide any supporting information or context relevant to the request.


Haven is not obligated to reinstate accounts and retains sole discretion over appeals decisions. Users who repeatedly violate these Terms may be permanently banned without an opportunity to appeal.

Consent to Electronic Communications and Signatures

By using the Platform, you consent to receive electronic communications and agree that your electronic signature is legally binding, with no third-party verification required.

By using the Platform, you consent to receive all notices, agreements, and other communications electronically, including by email or through the Platform. You agree that these electronic communications satisfy any legal requirement for being in writing. Notices are deemed received once sent to the contact information associated with your account, regardless of whether you review them. It is your responsibility to maintain current contact information to ensure you can receive these communications.


Additionally, you agree that all transactions on the Platform will be conducted electronically, and that your electronic signature has the same legal effect, validity, and enforceability as a physical signature. Using a keypad, mouse, or other device to select an item, button, or perform a similar action constitutes your electronic signature, equivalent to signing in writing. No third-party verification or certification is required to validate your electronic signature, and the absence of such verification will not affect its enforceability.

General

Summarizing the terms and how they apply. 

These Terms (including referenced policies) constitute the entire agreement between you and Haven, superseding any prior agreements. These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. For any disputes not subject to arbitration, you agree to the exclusive jurisdiction of courts located in Delaware.


Haven’s failure to enforce any provision of these Terms does not constitute a waiver of its rights to do so in the future. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect. Any claim or cause of action arising from these Terms must be filed within one (1) year after it occurs, or it will be permanently barred.


Users may not transfer or assign their rights under these Terms without Haven’s prior written consent. However, Haven may freely assign or transfer these Terms, in whole or in part, without restriction, including in the event of a merger, acquisition, or sale of assets. Haven may provide notices to users via email, in-app notifications, or other reasonable means.

Haven is not responsible for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to natural disasters, power outages, cyberattacks, government actions, labor disputes, or any other force majeure events.

U.S. Government Restricted Rights

Haven’s platform, including all associated software and services (the “Platform”), is provided to the U.S. government with RESTRICTED RIGHTS in accordance with 48 CFR 52.227-19 and 48 CFR 252.227-7013 et seq., or their successors. Use, duplication, disclosure, or distribution by the U.S. government is subject to the restrictions of these regulations.


Accessing or using the Platform by any U.S. government agency constitutes acknowledgment of Haven’s proprietary rights in the platform and its associated software, methodologies, and intellectual property.

Acknowledgment and Consent

I ACKNOWLEDGE THAT I HAVE READ AND UNDERSTAND THESE TERMS & CONDITIONS, THE PRIVACY POLICY, ACCEPTABLE USE POLICY, AND ALL OTHER TERMS INCORPORATED HEREIN. BY USING THE PLATFORM, I AGREE TO BE BOUND BY THESE TERMS.

You agree that Haven may assign or transfer this Agreement without your consent, and that you will be notified of such an assignment. You may terminate the Agreement and cease using the Platform if you choose. Upon assignment, Haven will be relieved of all obligations, and the assignee will assume them.


You may not assign or transfer this Agreement without Haven's prior written consent. Any unauthorized assignment is void. This Agreement benefits Haven, its successors, and assigns, and any provisions that should survive termination will continue in effect.


This Agreement is in English, and the English version will prevail in case of any discrepancies with translations.
